Terms of Service

Please read these Terms of Service carefully before using DealBird, operated by DealBird Inc. ("DealBird", "we", "us"). By registering for or using the Service in any manner, including browsing the site, you agree to these Terms.
1. What DealBird Is
DealBird is a brokerage platform for buying and selling online businesses. We provide AI-assisted valuations, listing creation and promotion services, an NDA-gated marketplace, and deal support through closing. Deal closings are handled through Escrow.com, an independent third-party escrow service.
2. Valuations Are Estimates, Not Advice
Valuations produced by DealBird are estimates based on comparable-sale data and the information you provide. They are not financial, investment, tax, or legal advice, and they are not a guarantee of any sale price or of a sale occurring at all. DealBird is not a licensed financial advisor, accountant, or law firm. You should obtain independent professional advice before making decisions about buying or selling a business.
3. Listing Services and the Mandate
Listing and promotion services are provided under an exclusive mandate agreement, which you e-sign separately. The mandate governs the exclusivity period, the success fee, and the specific terms of your engagement — where these Terms and your mandate conflict, the mandate controls for your sale. We charge sellers no listing fees or retainers; our success fee is payable only on a completed sale, as set out in your mandate. Buyers pay no fees to use the Service.
4. Buyer NDAs and Confidential Information
Access to a listing's confidential information (including financials, URLs, and data-room contents) requires signing a digital NDA. By signing an NDA, you agree to:
- Use confidential information solely to evaluate the potential purchase of that business
- Not disclose, share, or publish confidential information to any third party
- Not contact the business, its employees, customers, or suppliers, or attempt to circumvent DealBird or the seller
- Not use confidential information to compete with the business
E-signatures captured on DealBird, including NDAs and mandates, are legally binding under the U.S. ESIGN Act and UETA. Breach of an NDA may result in immediate suspension from the Service and legal action by the seller or DealBird.
5. Seller Accuracy Warranty
Sellers warrant that all information they provide — including financials, traffic data, and statements in their listing and data room — is accurate, complete, and not misleading. Fabricating or materially misrepresenting information is a breach of these Terms and your mandate, and may expose you to liability to buyers. We may remove listings and terminate mandates where we believe information is inaccurate.
6. Escrow and Closing
Deal funds are held and released by Escrow.com, a third-party licensed escrow service, under Escrow.com's own terms, which you accept directly with them. DealBird never holds buyer or seller funds. While we support the migration process, the purchase agreement is between buyer and seller.
7. Acceptable Use
You agree not to use DealBird for any unlawful purpose, to list a business you do not own or lack authority to sell, to misuse confidential information, to interfere with the operation of the Service, or to attempt to complete off-platform a transaction sourced through DealBird during an active mandate or NDA.
8. Limitation of Liability
To the maximum extent permitted by law, DealBird is not liable for indirect, incidental, special, or consequential damages, or for lost profits, arising from your use of the Service — including decisions made in reliance on a valuation, the conduct of any buyer or seller, or the performance of any business after a sale. Our total liability for any claim is limited to the fees you actually paid to DealBird in the twelve months preceding the claim.
9. Disputes and Governing Law
These Terms are governed by the laws of [Jurisdiction], without regard to conflict-of-law principles. Any dispute arising from these Terms or the Service will be resolved in the courts of [Jurisdiction], unless your mandate provides otherwise.
10. Termination
We may suspend or terminate your account at any time for violation of these Terms, including NDA breaches or inaccurate listing information. You may close your account at any time; obligations that by their nature survive — including NDA obligations, accuracy warranties, and fees due under an executed mandate — survive termination.
11. Changes to These Terms
We may update these Terms from time to time. Material changes will be posted on this page with an updated effective date. Continued use of the Service after changes take effect constitutes acceptance.
